Hawaii Businesses with July-September Registration Dates Must File Annual Reports by September 30

Honolulu, HI – The State of Hawaiʻi Department of Commerce and Consumer Affairs (DCCA) Business Registration Division (BREG) is reminding businesses across the islands that their annual reports for the third quarter are now due. Businesses originally registered between July 1 and September 30 must file their reports by midnight (HST) on September 30, 2025, to avoid late filing penalties.

The annual report filing period is tied to each business entity’s original registration date. Businesses can submit their reports online at https://hbe.ehawaii.gov/annuals at any point during their designated quarter.

Online filing fees vary by business type:

Limited Liability Companies (LLCs), profit corporations, and Limited Liability Partnerships (LLPs): $12.50

Nonprofit Corporations: $2.50

Partnerships: $5.00

Payments can be made online via credit card, eCheck, or through an eHawaii.gov subscriber account.

The DCCA emphasizes that timely filing is crucial for businesses to maintain “good standing” with the state. This status is often a necessary prerequisite for securing contracts, loans, and other forms of business assistance. For businesses with delinquent annual reports, online filing is still possible, though a $10.00 late fee will be assessed for each year the report is overdue.

For clarity, the DCCA outlines the annual report filing quarters:

First Quarter: January through March (due by March 31)

Second Quarter: April through June (due by June 30)

Third Quarter: July through September (due by September 30)

Fourth Quarter: October through December (due by December 31)

Businesses are also urged to be cautious of any correspondence regarding annual reports that does not originate directly from the Hawaiʻi Business Registration Division. BREG does not utilize or endorse third-party companies for the collection or filing of these reports. More information on public alerts can be found at https://cca.hawaii.gov/breg/public-alerts/.

Since January 1, 2023, BREG has transitioned from mailed reminders to an electronic notification system. Businesses can subscribe for email reminders through the “MyBusiness Notifications” page on Hawaiʻi Business Express at https://hbe.ehawaii.gov/documents/notify/myNotifications. Free email reminders are also available for businesses that filed their initial business registration or annual reports online through Hawaiʻi Business Express.
